Terms & Conditions – Reco Collaboration & Referral Program

By submitting your information and joining the Reco Collaboration & Referral Program, you (“Partner”) agree to the following terms and conditions with Reco Manpower Co., Ltd. (“Reco”, “we”, “us”).

1. Purpose of Collaboration

The Reco Collaboration & Referral Program enables partners, agencies, HR consultants, and business introducers to introduce potential clients or business opportunities to Reco in exchange for commission-based cooperation, subject to mutual agreement.

Submission of this form does not automatically establish a legally binding commercial partnership. A separate agreement may be executed if collaboration proceeds.

2. Confidentiality Commitment

Reco respects the confidentiality of all information submitted by Partners.

Any non-public business information shared with Reco, including but not limited to:

  • Client identities
  • Business contacts
  • Commercial terms
  • Project details
  • Strategic discussions shall be treated as confidential information.

Reco commits that:

  • Such information will not be disclosed to any third party without prior consent from the Partner.
  • Information will only be used for the purpose of evaluating or executing the proposed collaboration.
  • Internal access to such information is limited to authorized personnel on a need-to-know basis.
  • Reasonable technical and organizational safeguards are applied to protect submitted data.

3. Partner’s Confidentiality Obligation

By participating in the program, the Partner agrees:

  • Not to disclose any confidential information received from Reco, including service models, pricing structures, operational processes, or client data.
  • Not to use Reco’s confidential information for purposes unrelated to the collaboration.
  • Not to claim ownership over any proprietary materials, documentation, or intellectual property belonging to Reco.
  • Confidential obligations remain valid even if discussions do not result in a formal agreement.

4. Exceptions to Confidentiality

Confidentiality obligations shall not apply to information that:

  • Is publicly available at the time of disclosure;
  • Becomes publicly available without breach of these terms;
  • Was lawfully obtained from a third party;
  • Is required to be disclosed under applicable law or by a competent authority.

5. Data Usage & Privacy

By submitting this form, the Partner agrees that:

  • Reco may collect and process submitted information for partnership evaluation, communication, and collaboration purposes.
  • Contact information may be used for follow-up discussions regarding business opportunities.
  • Data will be handled in accordance with Reco’s Privacy Policy and applicable data protection laws.
  • Reco does not sell or commercially exploit Partner data.

6. Return or Deletion of Information

Upon written request from the Partner, Reco will:

  • Cease use of submitted confidential information;
  • Delete or securely archive such information where legally permissible.

7. Limitation of Commitment

Submission to the Referral Program:

  • Does not guarantee commission entitlement;
  • Does not guarantee acceptance of a referred client;
  • Does not create exclusivity unless otherwise agreed in writing.
  • Commission structure, payment terms, and collaboration scope will be governed by a separate written agreement.

8. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam.

Any disputes shall first be resolved through mutual negotiation. If unresolved, disputes may be submitted to a competent court in accordance with applicable law.
